1/ How to raise a real estate fund (and, ideally, avoid getting sued)

Have warned everyone it’s better to raise capital deal-by-deal, bc it’s easier to raise & bc it's better for the sponsor. Still, there’s interest in learning how to do a fund… so, here goes.

2/ Don’t think of doing this unless you have a record of successful deals, ideally mostly/all in the same asset class / strategy.

Remember: You will be asking LPs to invest in YOU; they need to feel like you know what you’re doing.

3/ Really helps to have a list of prospective LPs BEFORE you start your raise. The more high-quality leads you have, the more likely you are to succeed. (I built my list via my blog initially; now twitter leads predominate - see my bio.)

4/ Find an experienced attorney. Doesn’t need to be a huge, expensive firm, but you want someone who has done a lot of private offerings before. Don’t agree to a big fee yet… at first, you just want a few hrs of her time for advice.

5/ Find an experienced CPA. Ideally, your existing CPA has worked on a lot of private deals before. If not, get a new one. Prospective LPs need confidence that someone good is overseeing the bookkeeping and doing the tax prep.

The US election news has largely overshadowed a seismic moment in global finance: Ant, a fintech company that spun out of Alibaba/Alipay, was scheduled to have the world's largest IPO, topping even Aramco, the Saudi sovereign wealth fund.

Then Chinese regulators canceled it.

As @yvessmith writes in her excellent @nakedcapitalism breakdown, the consensus narrative on this is capricious Chinese regulators changed their minds and jerked the rug out from under Ali's billionaire owner Jack Ma.

The reality is a lot

To understand it, you need to understand the difference between the Chinese and American "money story." In the US, there is widespread, unquestioning faith in the fairytale that money predates the state and is separate from it.

In this story, people come together to trade but are plagued by disparate goods: if I want to pay for your chickens with a cow, how do you make change? They spontaneously decide that something (gold?) is money and price their cows and chicks in it.

Then, governments come along tax our gold away, and then to add insult to injury, governments abandon gold and insist that paper is as good as gold, print too much of it and crash the economy!

This probably sounds familiar to you, but it's just not true.

Wait … so … how much worse could the pandemic response and unprecedented death rate get?

How much farther shall our economy crater?

I wonder what it will feel like to get better.

I wonder what it will be like for things to get better after being arguably as bad as they have ever been.

Wait … sooo … were things this bad in 2016?

Wait … things were good? After eight years under a democratic administration?

Huh.

I wonder how all those falsehoods will play after things start to get better.

I wonder how many full fledged COVID deniers will finally encounter this deadly pandemic.

I wonder if red states will continue to suffer needlessly under Trumpian COVID policies.

I wonder what the recovering blue states will look like from those red states.

I wonder how much aid these red states will require from said blue states.

And I wonder what it will feel like to those red state constituents when the aid forced upon them makes things a bit better?

To see how the innovation economy has left much of the US behind, we traveled to the small town of Bryan, in northwestern Ohio's Williams County. This is a thread about how to fix what the innovation economy broke about America.

This is Valerie. She’s 46 and has worked all her life—three jobs currently—yet she has just $65 in her checking account. Her husband works full time at a metal fastener plant.

Altogether, after health insurance premiums but before taxes, Valerie and her husband make about $45,000 a year.

The story of her working life is also the story of Bryan. The town is broken in some of the same ways that much of the rest of the country is broken. Understanding what broke Bryan is crucial to understanding how it might be fixed.

For decades, America’s political and business leaders acted as if places like Bryan didn’t matter.
